Legal terms
1. About DRXP.SHOP
DRXP.SHOP is an artist-driven streetwear and merchandise platform. We collaborate with independent artists, designers, content creators, and other creative partners to offer apparel, accessories, merchandise, and other products featuring original creative works.
- Many DRXP products are made to order rather than held as finished inventory.
- Products may be manufactured, printed, packaged, and fulfilled by DRXP or authorized third-party production and fulfillment partners, including print-on-demand providers and their production networks where applicable.
- Our current sales and shipping markets may include the United States, Canada, and countries within the European Union.
- Product availability, shipping destinations, payment methods, and fulfillment providers may change.
2. Eligibility to Use the Store
- You must be legally capable of entering into a binding purchase agreement to place an order.
- If you are under the age of majority where you live, you may use the store and make purchases only with the involvement and permission of a parent or legal guardian.
- By placing an order, you represent that the information you provide is accurate and that you are legally authorized to use the payment method submitted with your order.
3. Customer Accounts
- Certain features may allow or require you to create an account.
- You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
- You agree to provide accurate and current account information and to update that information when necessary.
- You must promptly notify us if you reasonably believe your account has been accessed without authorization.
- DRXP may suspend or restrict an account when reasonably necessary to investigate suspected fraud, security issues, abuse, unauthorized transactions, violations of these Terms, or other activity that could harm customers, artists, DRXP, or third parties.
Products, orders & payment
4. Product Information
We make reasonable efforts to accurately describe and display our products. Product descriptions may include information concerning materials, garment type, sizing, artwork, printing method, manufacturer, dimensions, color options, features, or other specifications.
- Because products may be produced by multiple manufacturing facilities and viewed on different displays, minor differences may occur.
- Screen settings, lighting, photography, garment-dye variations, printing processes, manufacturing tolerances, and material batches can affect how a product appears.
- Reasonable variations in color, print positioning, scale, texture, stitching, or other characteristics that are inherent to the manufacturing or printing process are not necessarily product defects.
- Material differences, incorrect products, significant printing errors, damage, or manufacturing defects are handled under our Returns & Refunds provisions.
5. Sizing
- Customers are responsible for selecting the appropriate size before completing an order.
- Where available, product measurements and size guides should be reviewed before ordering.
- Sizing may vary between manufacturers, garment styles, product categories, or production partners.
- A correctly manufactured product generally is not considered defective solely because the customer selected an incorrect size.
- This does not affect your rights where a product is incorrectly labeled, materially differs from the size information presented at purchase, or applicable law provides additional rights.
6. Orders
- Submitting an order constitutes an offer to purchase the products identified in your order.
- Receiving an automated order confirmation does not necessarily mean that we have irrevocably accepted the order.
- An order is accepted once payment has been successfully authorized and DRXP accepts the order for fulfillment or production.
- Because many DRXP products are made to order, production may begin shortly after an order is accepted.
We reserve the right to reject or cancel an order before fulfillment when reasonably necessary because of suspected fraud, payment failure, an obvious pricing error, product unavailability, technical error, intellectual-property concern, fulfillment limitation, shipping restriction, legal requirement, or other legitimate business reason.
If we cancel an order after payment has been captured and no substitute or other resolution has been accepted, the applicable amount will be refunded.
7. Order Changes and Cancellations
- Because made-to-order products may enter production quickly, changes and cancellations are not guaranteed after an order has been submitted.
- If you need to change an order, shipping address, product option, or other order information, contact DRXP as soon as possible.
- If production has not started, we may be able to modify or cancel the order.
- Once production has started, changes or cancellation may no longer be possible except where required by applicable law.
- Your statutory cancellation or withdrawal rights, if any, remain unaffected.
8. Prices
- Prices displayed on DRXP.SHOP are generally shown in the currency indicated on the website or during checkout.
- Prices may change without notice. A price change will not normally affect an order that has already been accepted.
- Promotional pricing, artist drops, sales, discount codes, bundles, and limited-time offers may be subject to separate conditions.
- We make reasonable efforts to ensure pricing accuracy.
- If an obvious or material pricing error occurs, we may contact you to confirm whether you wish to purchase the product at the correct price or cancel the affected order and issue a refund.
- We will not intentionally charge a higher price without your authorization.
9. Taxes, VAT, Customs and Duties
- Applicable sales tax, VAT, GST, HST, or similar transaction taxes may be collected during checkout when required.
- For international orders, customs duties, import taxes, brokerage charges, or other governmental fees may apply.
- Where checkout clearly states that such charges are included or prepaid, they will be handled according to the checkout terms.
- Where they are not collected by DRXP, the recipient may be responsible for charges imposed by the destination country to the extent permitted by law.
- DRXP does not control customs authorities and cannot guarantee whether a shipment will incur additional import charges.
- Customers are responsible for providing accurate information required for customs processing.
10. Payment Processing
DRXP currently uses Stripe and may use other approved payment providers to process customer payments. Available payment methods may include major credit cards, debit cards, digital wallets, or other payment methods presented during checkout.
- When you submit payment information, you represent that you are authorized to use the payment method and authorize the amount shown at checkout to be charged.
- Payment authorization does not guarantee acceptance of an order.
- Payment information may be transmitted directly to Stripe or another payment provider using their secure payment systems.
- Where Stripe processes a transaction, Stripe may process information associated with that transaction in accordance with its applicable privacy and payment practices.
- DRXP does not intentionally store complete payment-card numbers when those details are handled directly by our payment processor.
- Payment processors, banks, card networks, and fraud-prevention systems may decline or delay transactions independently of DRXP.
- DRXP is not responsible for a financial institution's independent decision to decline a payment method.
11. Fraud Prevention
- DRXP may use reasonable fraud-detection and transaction-verification systems.
- We may request additional information when reasonably necessary to verify a transaction.
- An order may be held, cancelled, or refunded where we reasonably suspect unauthorized payment activity, identity theft, payment fraud, fraudulent referrals, abuse of promotions, chargeback manipulation, or another fraudulent transaction.
- Fraud-prevention measures are intended to protect both customers and DRXP.
12. Chargebacks and Payment Disputes
- If you believe there is a problem with your purchase, we encourage you to contact DRXP before initiating a chargeback so we have an opportunity to resolve the issue.
- Nothing in these Terms prevents you from exercising lawful rights provided by your card issuer, bank, payment provider, or consumer-protection law.
- Knowingly initiating a fraudulent chargeback or falsely claiming that an authorized transaction was unauthorized may result in suspension of a customer account and other remedies available under applicable law.
Production & shipping
13. Made-to-Order Production
Many DRXP products are produced specifically after an order is placed. This approach allows us to offer independent artist designs without maintaining large quantities of finished inventory.
Production time and shipping time are separate.
- Production time is the period required to print, manufacture, inspect, and prepare the product for shipment.
- Shipping or transit time begins after the completed product has been transferred to the carrier.
- An estimated delivery window may therefore consist of both production time and carrier transit time.
- Production times shown on the website are estimates unless expressly described as guaranteed.
- Actual production time can be affected by product type, manufacturing facility, supplier inventory, order volume, holidays, equipment issues, print-quality checks, destination, or other circumstances.
14. Shipping Estimates
- Shipping and delivery dates are estimates unless DRXP expressly states that a particular date is guaranteed.
- We will make reasonable efforts to meet shipping estimates presented at checkout or on the applicable product page.
- For U.S. orders, where applicable law requires us to ship by a stated time or otherwise provide a delay option, cancellation right, or refund, we will comply with those requirements.
- If we determine that we cannot ship an order within a legally applicable or expressly promised shipping timeframe, we may contact you with a revised estimate and the options required by applicable law.
- Delivery time after shipment may be affected by the carrier, weather, customs, holidays, strikes, transportation disruptions, incorrect addresses, regional emergencies, or circumstances outside DRXP's reasonable control.
15. Split Shipments
- Products within a single order may be manufactured at different facilities.
- As a result, an order may arrive in multiple packages on different dates.
- Separate tracking numbers may be provided where available.
- A partial shipment does not necessarily mean that the remainder of your order has been lost or cancelled.
16. Shipping Addresses
- You are responsible for providing a complete and accurate delivery address.
- Please review your shipping information carefully before completing checkout.
- If you discover an address error, contact us immediately.
- We cannot guarantee that an address can be changed once an order enters production or fulfillment.
- If an order is returned, lost, or undeliverable because the customer supplied an incorrect or incomplete address, additional shipping or reproduction charges may apply where permitted by law.
- We will work reasonably with customers to resolve legitimate delivery problems.
17. Tracking and Carrier Delays
- Where tracking is available, tracking information may be provided by email, through your customer account, or through the carrier.
- Tracking information is supplied by the shipping carrier and may not update immediately.
- DRXP does not control independent shipping carriers.
- If tracking indicates an unusual delay, loss, damage, or delivery issue, contact us so we can investigate the shipment with the applicable fulfillment provider or carrier.
- Any rights you have under mandatory consumer law remain unaffected.
18. Lost or Damaged Shipments
- If a package appears to have been lost or arrives materially damaged, contact DRXP promptly.
- We may request photographs of the product, shipping package, label, packaging materials, or damage to assist with a carrier or fulfillment claim.
- Depending on the circumstances, an eligible claim may be resolved through replacement, reshipment, refund, or another appropriate remedy.
- We may require reasonable time to investigate a carrier claim before determining the appropriate resolution.
Returns, refunds & offers
19. Returns — Made-to-Order Products
Because many DRXP products are manufactured specifically for an individual order, our return practices differ from retailers that maintain finished inventory.
Except where required by law or provided by our Returns & Refunds Policy, we generally do not accept returns solely because a customer:
- changes their mind after production;
- selects the wrong size;
- selects the wrong product variation;
- no longer wants the product; or
- provides incorrect order information.
This does not limit rights available to customers under mandatory consumer-protection laws. In particular, customers located in jurisdictions providing statutory withdrawal, return, conformity, warranty, or cancellation rights retain those rights where applicable.
20. European Union Consumer Rights
- If you are a consumer located in the European Union, nothing in these Terms is intended to remove rights that cannot legally be waived.
- Depending on the product and circumstances, EU consumers may have statutory rights concerning withdrawal from distance contracts, product conformity, repair, replacement, price reduction, or refunds.
- Certain goods that are made to a consumer's specifications or clearly personalized may be excluded from the statutory withdrawal period where applicable law permits.
- The fact that an item is produced after an order is received does not by itself eliminate any statutory consumer right where the law provides otherwise.
- Where EU law grants you rights greater than those described in our standard Returns & Refunds Policy, the legally required rights apply.
21. Defective Products, Misprints and Incorrect Items
We stand behind the quality of products sold through DRXP.SHOP.
- If you receive a product that is materially defective, damaged, significantly misprinted, or materially different from the product ordered, please contact us as soon as reasonably possible.
- Unless a longer period is required by applicable law, we ask that manufacturing-error claims be submitted within 30 days of delivery.
- Please include your order number and clear photographs showing the issue.
- Where appropriate, we may also request photographs showing the entire product, close-up photographs of the defect, shipping packaging, or the shipping label.
- After reviewing the claim, DRXP may provide an appropriate remedy such as a replacement, reprint, refund, or other resolution.
- Nothing in this section limits a remedy required by applicable consumer law.
22. What Is Considered a Misprint
A material misprint may include a significant printing defect, incorrect artwork, substantial artwork displacement, missing portions of the intended design, major ink failure, incorrect product, or another production error that materially differs from the product ordered.
Minor differences caused by normal printing tolerances are not automatically defects. Examples may include slight differences in print placement, minor variations in color caused by substrate or printing process, small differences between on-screen colors and printed colors, or natural variations in textile materials.
Each claim is evaluated reasonably based on the product and circumstances.
23. Return Authorization
- Do not send a product back to a manufacturing facility, fulfillment provider, return address shown on a shipping label, artist, or other third party unless DRXP instructs you to do so.
- Print-on-demand facilities may not be able to process unauthorized returns.
- Contact DRXP first for return instructions.
- If a physical return is required, we will provide the appropriate instructions.
24. Refunds
- Approved refunds are generally issued to the original payment method unless another method is required by law or agreed upon.
- After DRXP issues a refund, your bank or payment provider may require additional processing time before the funds appear in your account.
- DRXP does not control a financial institution's posting timeline.
- Original shipping charges, expedited shipping fees, customs charges, or other expenses may be refundable or non-refundable depending on the circumstances and applicable law.
25. Limited Releases, Drops and Availability
- Certain DRXP products may be offered as limited releases, artist drops, seasonal products, collaborations, or limited-time merchandise.
- Availability is not guaranteed until an order is accepted.
- High demand, supplier inventory synchronization, marketplace delays, or technical errors may occasionally cause a product to appear available when it is no longer capable of being fulfilled.
- If this occurs, we may cancel the affected product and issue a refund.
- We will not substitute materially different artwork or merchandise without the customer's authorization.
26. Promotional Codes and Discounts
- Promotional codes may be subject to expiration dates, product restrictions, minimum purchase requirements, geographic limitations, usage limits, or other conditions.
- Unless expressly permitted, promotional offers may not be combined.
- Promotional codes have no cash value and may not be sold or transferred for commercial purposes without authorization.
- DRXP may disable codes obtained or used through fraud, automated abuse, coupon manipulation, or another violation of these Terms.
Artwork & intellectual property
27. Artists and Artwork Ownership
DRXP.SHOP is built around the work of independent artists and creators. Except for artwork owned directly by DRXP, artwork appearing on DRXP products generally remains the intellectual property of the applicable artist or rights holder.
Purchasing a product containing artwork does not transfer ownership of the artwork, copyright, trademark, character rights, or other intellectual-property rights to the customer. The customer is purchasing the physical product, not the underlying intellectual property.
DRXP obtains the rights necessary to manufacture, market, display, distribute, and sell approved artist merchandise pursuant to agreements with participating artists and rights holders. Artist ownership and DRXP's merchandise licenses are governed by the applicable DRXP.SHOP Partner Agreement or other written licensing agreement.
28. No Reproduction Rights
Unless the applicable rights holder expressly authorizes otherwise, you may not copy, scan, reproduce, trace, distribute, commercially exploit, manufacture, print, upload, tokenize, resell as a reproduction, or create derivative merchandise from artwork appearing on DRXP products or the DRXP website.
- Ownership of a physical shirt, hoodie, print, sticker, accessory, or other item does not grant permission to reproduce the artwork appearing on that product.
- Lawful resale of an authentic physical product is not prohibited merely by this section.
29. DRXP Intellectual Property
The DRXP.SHOP name, DRXP logos, website graphics, brand elements, site design, original photography, product presentation, written content, software, icons, interfaces, and other materials owned by DRXP are protected by applicable intellectual-property law.
- You may not use DRXP branding in a manner that falsely suggests affiliation, sponsorship, endorsement, ownership, or authorization.
- You may not create counterfeit DRXP merchandise.
30. Artist and Creator Submissions
Artwork submitted by approved artists or creators through the DRXP Partner Program is governed by the DRXP.SHOP Partner Agreement rather than the general user-content license below.
Nothing in these Terms gives DRXP ownership of an Artist Partner's underlying artwork merely because that artwork was submitted to the platform.
31. Reviews and Customer Content
If DRXP allows customers to submit reviews, photographs, comments, testimonials, social-media tags, or similar content, you retain ownership of content you own.
By voluntarily submitting such customer content directly for public display, you grant DRXP a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute that content for purposes reasonably connected with operating, promoting, or improving DRXP and its products.
- This section does not override the separate rights applicable to professional Artist Partner artwork.
- You represent that content you submit does not violate the rights of another person.
- DRXP may remove customer content that reasonably appears unlawful, fraudulent, abusive, infringing, deceptive, spam-related, or otherwise inappropriate for the service.
32. Copyright and Intellectual-Property Complaints
DRXP respects intellectual-property rights. If you believe material offered through DRXP infringes your copyright, trademark, publicity rights, or other intellectual property, contact us with sufficient information to identify the disputed material and explain the basis of your claim.
- DRXP may temporarily remove or disable disputed material while investigating a good-faith complaint.
- We may request documentation demonstrating ownership, authorization, licensing, or another relevant right.
- Repeat or serious infringement may result in account or Partner termination.
- Additional procedures may be established in a separate Copyright or DMCA Policy.
Using the site
33. Acceptable Use
You may use DRXP.SHOP only for lawful purposes. You may not use the website or services to:
- commit fraud;
- attempt unauthorized access to accounts or systems;
- introduce malware or malicious code;
- interfere with website security;
- scrape or extract data at an unreasonable automated scale without authorization;
- circumvent purchase limits or security controls;
- impersonate another person or DRXP;
- submit knowingly false payment information;
- abuse discounts or affiliate systems;
- infringe intellectual-property rights;
- harass other users, artists, or DRXP personnel; or
- use the platform in another manner that materially interferes with its lawful operation.
Reasonable indexing by legitimate search engines is not prohibited.
34. Bots and Automated Activity
You may not use bots, scripts, automated checkout systems, credential-stuffing systems, scraping tools, or similar automated technology in a manner that interferes with site operation, circumvents product limits, accesses nonpublic data, abuses promotions, or creates unreasonable infrastructure load.
DRXP may implement technical measures designed to detect or restrict abusive automated activity.
35. Third-Party Services
- DRXP uses third-party services to operate portions of the business.
- These may include payment processors, print-on-demand providers, hosting companies, analytics services, shipping carriers, marketplaces, email providers, security providers, social networks, and other vendors.
- Third-party services may operate under their own terms and privacy policies.
- DRXP is not responsible for an independent third party's services outside DRXP's reasonable control.
- Nothing in this provision removes responsibility that applicable law expressly places on DRXP as the seller.
36. Third-Party Links
- Our website may link to artist websites, social-media profiles, payment providers, shipping websites, or other independent services.
- A link does not necessarily constitute DRXP's endorsement of everything offered or stated by the third-party website.
- When you leave DRXP.SHOP, the terms and privacy practices of the external service may apply.
37. Website Availability
- We aim to keep DRXP.SHOP available and functioning reliably.
- We do not guarantee that the website will be uninterrupted, error-free, or available at all times.
- Temporary interruptions may occur for maintenance, security, hosting issues, software updates, cyber incidents, provider failures, or circumstances outside our reasonable control.
- We may modify, suspend, or discontinue website features when reasonably necessary.
38. Accuracy of Website Information
- We make reasonable efforts to keep information accurate.
- Occasional typographical errors, pricing errors, outdated inventory information, technical errors, product-description errors, or other inaccuracies may occur.
- We may correct such errors when discovered.
- Where a correction materially affects an existing order, we will provide an appropriate resolution consistent with applicable law.
39. Privacy
- Our collection, use, retention, and disclosure of personal information is described in our Privacy Policy.
- By using DRXP.SHOP, you acknowledge that information may be processed as described in that policy.
- Separate cookie choices may be available where required by law.
40. Electronic Communications
By using our website or contacting DRXP electronically, you consent to receive transactional communications electronically where permitted by law. These communications may include order confirmations, payment receipts, shipping updates, customer-service responses, security notices, legal notices, account notifications, and similar communications.
- Marketing communications are subject to applicable consent and unsubscribe requirements.
- You may unsubscribe from promotional email without preventing DRXP from sending necessary transactional communications.
Legal terms
41. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS OBLIGATIONS PROVIDED IN THESE TERMS, PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS AVAILABLE” BASIS.
DRXP DOES NOT MAKE WARRANTIES REGARDING FUTURE PRODUCT AVAILABILITY, WEBSITE UPTIME, THIRD-PARTY CARRIER PERFORMANCE, SALES RESULTS, OR OTHER MATTERS OUTSIDE OUR REASONABLE CONTROL.
TO THE EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES THAT MAY OTHERWISE APPLY ARE LIMITED OR DISCLAIMED.
HOWEVER, THIS SECTION DOES NOT EXCLUDE, RESTRICT, OR MODIFY A WARRANTY, GUARANTEE, CONSUMER RIGHT, OR REMEDY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.
42. Consumer Guarantees
- Nothing in these Terms eliminates mandatory consumer rights.
- If the laws where you reside provide non-waivable warranties, conformity rights, product guarantees, repair rights, replacement rights, refund rights, withdrawal rights, or other consumer protections, those protections continue to apply.
- Where these Terms conflict with a mandatory consumer-protection requirement, the mandatory requirement controls to the extent of the conflict.
43. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRXP, EP PORTFOLIO, LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE WEBSITE OR A PURCHASE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRXP'S AGGREGATE LIABILITY ARISING FROM A CUSTOMER TRANSACTION WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT THE CUSTOMER PAID TO DRXP DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS ($100).
THIS LIMIT DOES NOT PREVENT A CUSTOMER FROM RECEIVING A VALID REFUND, REPLACEMENT, STATUTORY REMEDY, OR OTHER AMOUNT THAT DRXP IS LEGALLY REQUIRED TO PROVIDE.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY TO THE EXTENT ARISING FROM FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE WHERE APPLICABLE, PERSONAL INJURY WHERE LIMITATION IS PROHIBITED, OR OTHER NON-WAIVABLE STATUTORY RIGHTS.
44. Indemnification for Misuse of the Service
To the extent permitted by law, if you use DRXP.SHOP for commercial misconduct, fraud, infringement, unauthorized access, or another material violation of these Terms that causes a third-party claim against DRXP, you agree to indemnify DRXP for reasonable losses arising directly from that misconduct.
This provision is not intended to require an ordinary consumer to indemnify DRXP merely because the consumer purchased or used a product normally.
45. Force Majeure
DRXP is not responsible for a delay or failure caused by circumstances reasonably outside its control, including natural disasters, severe weather, war, civil unrest, terrorism, pandemics, epidemics, government action, customs interruption, labor disputes, cyberattacks, internet outages, carrier failures, power failures, supply shortages, manufacturer shutdowns, payment-network disruptions, or other similar events.
DRXP will continue to comply with cancellation, refund, notice, and other obligations imposed by applicable law despite such events.
46. Governing Law
Except where mandatory consumer law provides otherwise, these Terms and disputes arising from them are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to the extent its exclusion is legally permitted.
47. Harris County Venue
Except where applicable law gives a consumer a mandatory right to bring a claim elsewhere, any judicial proceeding arising from these Terms or your relationship with DRXP will be brought in a state or federal court having jurisdiction in Harris County, Texas. You and DRXP consent to the jurisdiction of those courts.
This provision is intended to align DRXP's consumer Terms with the governing-law and venue framework used in its DRXP.SHOP Partner Agreement.
48. Informal Dispute Resolution
- Before filing a lawsuit, you and DRXP agree to make a reasonable good-faith attempt to resolve the dispute.
- The complaining party should provide written notice describing the issue and requested resolution.
- The parties will attempt to resolve the matter informally for at least thirty (30) days.
- Nothing in this provision prevents either party from seeking immediate injunctive or emergency relief where necessary, and nothing prevents a consumer from using a governmental complaint procedure or another right that cannot legally be waived.
49. Jury-Trial Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, DRXP AND THE CUSTOMER KNOWINGLY WAIVE THE RIGHT TO A TRIAL BY JURY FOR A DISPUTE ARISING DIRECTLY FROM THESE TERMS.
If applicable law does not permit this waiver, this section does not apply to the extent prohibited.
50. International Consumers
- DRXP serves customers outside the United States.
- The Texas governing-law and Harris County provisions establish DRXP's contractual default.
- They are not intended to eliminate consumer rights that the laws of your country or region prohibit a merchant from waiving.
- Consumers located in Canada, the European Union, or another jurisdiction may therefore have additional mandatory rights.
- Where mandatory local consumer law conflicts with these Terms, the mandatory local rule applies to the extent required.
51. Changes to These Terms
- We may update these Terms periodically to reflect changes to our products, services, fulfillment methods, technology, policies, legal obligations, or business operations.
- The “Last Updated” date will indicate the most recent revision.
- Material changes will apply prospectively unless applicable law permits otherwise.
- An order will generally be governed by the Terms presented or effective when that order was placed.
- We will provide additional notice of material changes when required by law.
52. Policies Incorporated Into These Terms
- Our Privacy Policy, Returns & Refunds Policy, Shipping Policy, and other policies expressly presented during checkout form part of the terms applicable to the applicable transaction where appropriate.
- Artists, Creators, Affiliates, and other DRXP Partners are additionally subject to the DRXP.SHOP Partner Agreement where applicable.
- If a specific policy governing an order conflicts with these general Terms, the more specific policy controls for that particular issue unless prohibited by law.
53. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or modified only to the minimum extent necessary where legally permitted. The remaining provisions will continue in effect.
54. No Waiver
DRXP's failure to enforce a provision of these Terms on one occasion does not waive the right to enforce that provision later.
55. Assignment
You may not transfer contractual rights arising from a customer account to another person where such transfer would materially interfere with DRXP's obligations, except where applicable law provides otherwise.
DRXP may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or transfer of the DRXP business, subject to applicable law.
56. Entire Agreement
These Terms, together with applicable policies and order-specific information presented during checkout, constitute the agreement between you and DRXP concerning your use of the store and applicable purchases.
They supersede prior general representations concerning the same subject matter to the extent those representations conflict with these Terms. Nothing in this section eliminates a product promise or representation that applicable law requires DRXP to honor.
57. Headings
Section headings are provided for convenience and do not independently alter the meaning of these Terms.
